Terms of Service

A Note Before You Read
These are the rules of the road for using the Resonance Protocol. We've written them in plain English wherever the law lets us. Where we had to use formal language, we explain why.
By creating an account, purchasing a membership, or using any part of the Service, you agree to these Terms. If you don't agree, please don't use the Service. (You can stop reading here if that's the case — we don't take it personally.)
1. Definitions
A few words we use throughout these Terms:
- "Resonance Protocol," "we," "us," "our" means Resonance Protocol LLC, a Wyoming limited liability company.
- "Service" means the Resonance Protocol membership, including the website at resonanceprotocol.app, the member portal, all audio sessions, companion workbook materials, coherence practices, and any related content or tools we make available to members.
- "Member" or "you" means the individual person who has registered for an account or purchased a Subscription.
- "Content" means everything inside the Service — audio, written materials, video (when added), graphics, code, and any other works we create or license.
- "Subscription" means a paid membership at any tier — Monthly, Annual, or Lifetime.
2. Eligibility
To use the Service, you must:
- Be at least 18 years old
- Be a resident of the United States or an eligible international territory where Stripe processes payments and our Service is offered
- Have the legal capacity to enter into a binding agreement
- Not be barred from receiving the Service under U.S. law or the laws of your jurisdiction
If you're under 18, please don't sign up. We'll honor refund requests on accounts that turn out to belong to minors, no questions asked.
International members are welcome on all paid tiers. Note that paperback books ship to U.S. addresses only. International members receive full digital access — the Companion Audio, companion workbook PDF, full audio session library, coherence practices — but no physical book.
3. Your Account
To access most of the Service you'll create an account. You agree to:
- Provide accurate, current information at signup
- Keep your password secure and not share it
- Be responsible for everything that happens under your account
- Notify us promptly at support@resonanceprotocol.app if you suspect unauthorized access
One account per person. The Service is licensed for individual personal use. (We get into the details under "Acceptable Use" below.)
4. Subscriptions and Billing
4.1 Available Subscriptions
We currently offer three products:

Prices are in U.S. dollars and exclude any applicable taxes.
4.2 Stripe Handles Payments
All payments are processed by Stripe, Inc. When you check out, you provide your payment details directly to Stripe — we never see or store your full card number. By purchasing a Subscription, you agree to Stripe's Terms of Service and Privacy Policy in addition to these Terms.
Receipts come from noreply@resonanceprotocol.app. That mailbox is for Stripe transactional email only and is not monitored.
4.3 Auto-Renewal
Monthly and Annual subscriptions renew automatically at the end of each billing cycle until you cancel. The card on file will be charged on the renewal date.
Lifetime Access is a one-time charge with no renewal.
4.4 Cancellation
You can cancel any recurring subscription at any time through the Stripe customer portal, accessible from the link at the bottom of any receipt or by emailing us for a fresh portal link. Cancellation stops future charges; it does not refund past charges. See our Refund Policy for refund details.
After cancellation you keep access to the Service through the end of your current paid period.
4.5 Failed Payments
If a renewal charge fails, Stripe will automatically retry over a 14-day grace period. During the grace period your membership stays active. If the charge still hasn't cleared after 14 days, the subscription cancels automatically and access is removed.
5. Pricing and Lifetime Access
5.1 Existing Members Keep Their Rate
If we raise prices in the future, existing active members keep the rate they signed up at for as long as their membership stays continuously active. We may notify members of pricing changes by email at least 30 days before any change takes effect for new members. Existing members will not see a price increase mid-term.
5.2 Lifetime Access
Lifetime Access is a one-time purchase. There is no recurring charge. Lifetime members keep access to the Service and all future content updates, including v2 interactive features when launched, for the operational lifetime of the Service.
If we ever shut down the Service entirely, Lifetime members will receive at least 90 days' notice by email and the opportunity to download all digital content they've accessed. We don't anticipate this, but we're naming it.
6. Acceptable Use
The Service is licensed for your personal, individual, non-commercial use. By using it, you agree not to:
- Share your account credentials with anyone else, or let others use your account
- Resell, redistribute, sublicense, or republish any Content (audio, text, PDFs, video) — whether free or for payment
- Upload Content to any other website, file-sharing service, social media platform, or AI training dataset
- Scrape, crawl, mine, or programmatically extract content from the Service
- Reverse engineer, decompile, or attempt to extract source code from any portion of the Service
- Use the Service to harass, defame, or harm any other member or any third party
- Use the Service in violation of any applicable law
We monitor for account sharing and bulk content extraction. Violations may result in suspension or termination without refund (see Section 11).
You may quote short excerpts of our Content for personal commentary, review, or educational discussion under fair use principles. Please credit Resonance Protocol and link to resonanceprotocol.app where practical.
7. Intellectual Property
7.1 Our Content
All Content created by Resonance Protocol — audio sessions, companion workbook, coherence practices, narration scripts, written materials, branding, and all original works available through the Service — is the property of Resonance Protocol LLC and is protected by U.S. and international copyright, trademark, and other intellectual property laws.
We grant you a limited, personal, non-transferable, non-sublicensable, revocable license to access and use the Content for your own personal practice during your active membership. This license ends when your membership ends, except for digital files you've already downloaded to your device, which are yours to keep for personal use (subject to the redistribution rules in Section 6).
7.2 Bentov's Book
The Resonance Protocol references Stalking the Wild Pendulum by Itzhak Bentov (Destiny Books, 1988) throughout the protocol. Our Content paraphrases, discusses, and builds on the ideas in that book. No copyrighted material from Bentov's book is reproduced in our Content. All quotations, where used, fall within fair use as commentary, criticism, and educational discussion.
The paperback copy of Bentov's book that ships to U.S. members is purchased by us through standard retail channels and shipped to you intact. We have no rights in Bentov's book itself; we're sharing a copy of a book we love and treating it as a tool for the protocol.
7.3 Your Content
If you submit feedback, suggestions, or comments to us (by email or otherwise), you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use that feedback to improve the Service. We won't publish your feedback under your name without permission.
8. Wellness Disclaimer — Please Read
This is the most important section in these Terms. It is also the most important section in the workbook, the audio sessions, and everything else we make. We say it everywhere because it's true.
The Resonance Protocol is a wellness and educational product. It is not intended to diagnose, treat, cure, or prevent any disease. Statements about audio practices, breathwork, coherence, heart rate variability, vagal tone, or related topics in our Content have not been evaluated by the U.S. Food and Drug Administration.
The Service is not medical advice and is not a substitute for professional medical care, mental health care, psychiatric care, or any other licensed health service.
If you have a medical or psychological condition, are pregnant, are taking medication, are recovering from illness or surgery, or have any concern that physical or breath practices might affect your health, consult a qualified healthcare provider before beginning the protocol. Stop any practice immediately if you experience pain, dizziness, breathing difficulty, or other adverse symptoms, and consult a healthcare provider.
If you are experiencing a medical or mental health emergency, call your local emergency number (911 in the U.S.) or go to your nearest emergency room. We are a wellness membership. We are not equipped to handle emergencies.
By using the Service you acknowledge you have read this disclaimer and that you are using the Service at your own risk. The Service is offered as-is for general wellness and personal development purposes only.
9. Disclaimer of Warranties
To the fullest extent permitted by law, the Service and Content are provided "as-is" and "as-available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or that the Service will be uninterrupted or error-free.
We don't warrant any specific result from using the protocol. People are different. Bodies are different. Practices that help one person may not help another. The honest answer is that wellness practices are individual, and we can't promise outcomes.
10. Limitation of Liability
To the fullest extent permitted by applicable law:
The total liability of Resonance Protocol LLC, its members, managers, officers, employees, and contractors arising out of or related to your use of the Service or these Terms is limited to the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
We are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to lost profits, lost data, lost goodwill, or damages for personal injury or property damage, even if we have been advised of the possibility of such damages.
Some jurisdictions don't allow the limitation or exclusion of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
This limitation applies regardless of the legal theory of the claim — contract, tort, negligence, strict liability, statute, or anything else.
11. Indemnification
You agree to defend, indemnify, and hold harmless Resonance Protocol LLC, its members, managers, officers, employees, and contractors from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of:
- Your breach of these Terms
- Your violation of any law or the rights of any third party
- Your misuse of the Service or the Content
- Any content you submit to us or post in any community space we operate
We reserve the right to assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with our defense.
12. Termination
12.1 By You
You can cancel your subscription at any time through the Stripe customer portal (see Section 4.4). Cancellation takes effect at the end of your current paid period unless you also request a refund within the applicable refund window.
12.2 By Us
We may suspend or terminate your account, with or without notice, if:
- You violate these Terms or our Refund Policy
- You misuse the Service (account sharing, redistribution, scraping, etc.)
- Your payment fails and isn't resolved within the 14-day grace period
- We're required to do so by law
- You initiate a chargeback rather than contacting us first
If we terminate your account for cause (violations of these Terms), you are not entitled to a refund.
If we ever discontinue the Service entirely, we'll give Lifetime members at least 90 days' email notice, and we'll handle pro-rated refunds for active recurring subscriptions in good faith.
12.3 Effect of Termination
When your account is terminated:
- Your access to the member portal is removed
- Future charges stop
- You may keep digital files already downloaded to your device, subject to the redistribution rules in Section 6
- Sections of these Terms that should reasonably survive termination — including Sections 7 (IP), 8 (Wellness Disclaimer), 9 (Warranties), 10 (Liability), 11 (Indemnification), 13 (Governing Law), and 14 (Disputes) — remain in effect
13. Governing Law
These Terms and any dispute arising out of them or your use of the Service are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Resonance Protocol LLC is a Wyoming limited liability company; Wyoming is its state of formation and the governing jurisdiction for these Terms.
This choice of law does not deprive you of any consumer protections you're entitled to under the laws of your home state or country that cannot be waived by contract.
14. Dispute Resolution
We're a small operation and we take complaints seriously. We strongly prefer to resolve issues directly. Most refund and access disputes are resolved by email within a day or two.
14.1 Informal Resolution First
Before filing any formal claim, you agree to email us first at support@resonanceprotocol.app with a description of the issue and what you'd like us to do about it. We agree to respond within 30 days and work in good faith to resolve the issue.
This step is required. We can't fix a problem we don't know about.
14.2 Binding Arbitration (Or Small Claims, Your Choice)
If we can't resolve a dispute informally within 60 days of your initial email, you have two options and you get to pick:
Option A — Arbitration in Wyoming. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be held in Wyoming, or by phone/video at the arbitrator's discretion if you prefer. The arbitrator's decision is final and enforceable in any court of competent jurisdiction.
Option B — Small claims court in your home state. Either party may bring an individual claim in small claims court in the claimant's home state, provided the claim qualifies under that court's jurisdictional limits. We've included this option specifically because we don't want a Wyoming forum to be a barrier to a member with a legitimate small-dollar dispute.
14.3 Class Action Waiver — In Plain English
You agree that any dispute will be resolved on an individual basis. You agree not to participate in a class action, class arbitration, or representative proceeding against us, and you waive the right to do so.
This means: if you have a claim, you bring it as yourself, and we resolve it as yourself. No combining with other claimants, no class representatives, no consolidated proceedings. This waiver does not apply to any rights you have under applicable consumer protection law that cannot be waived.
We know class action waivers feel one-sided. The reason we include one is the same reason most small businesses do: a single class action can end a small operation regardless of merit. We'd rather resolve every individual dispute fairly than carry the risk of a class action lottery. If you don't agree with this, please don't sign up.
14.4 30-Day Opt-Out
You can opt out of the arbitration provision and class action waiver in Section 14 by emailing support@resonanceprotocol.app within 30 days of your first purchase with the subject line "Arbitration Opt-Out" and your account email. If you opt out, disputes will be resolved in court instead, in Wyoming under Section 13. Opting out has no effect on your membership.
15. Changes to These Terms
We may update these Terms from time to time as the Service grows or the law changes. The "Last updated" date at the top of this document will reflect any change.
For material changes — anything that meaningfully affects your rights or obligations, including pricing, refund terms, or the dispute resolution process — we will notify active members by email at least 30 days before the change takes effect.
For non-material changes (typo fixes, clarifications, formatting), we'll update the document and the date without separate notice.
Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. If you don't agree with a change, your remedy is to cancel your subscription and (where applicable) request a refund under the Refund Policy in effect at the time of your most recent purchase.
16. Miscellaneous
Entire agreement. These Terms, together with the Refund Policy and any other policies referenced from the Service, are the complete agreement between you and Resonance Protocol regarding the Service.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer these Terms or any rights under them without our written consent. We may assign these Terms in connection with a sale of the business or the Service.
Force majeure. We're not liable for delays or failures caused by events beyond our reasonable control — natural disasters, internet outages, payment processor outages, government actions, and so on.
Headings. Section headings are for convenience only and don't affect interpretation.
